Website Services Agreement
This agreement is between DeeMedia (ABN 47 641 727 353, “we”, “us”) and the client named above (“you”, “the Client”). By checking the box below, you agree to the following terms.
1. Services
We will design and build you a custom website (not a template) and provide the following on an ongoing monthly basis:
- Website hosting and uptime monitoring
- Security updates and maintenance
- 1 content update per month (text and image changes to existing pages)
Content updates do not include new pages, structural redesigns, new features, or integrations. Additional work is quoted separately.
2. Fees and Payment
The fee is $100 AUD per month, billed automatically via Stripe on the same date each month. GST is included where applicable.
3. Minimum Term
This agreement has a minimum term of 12 months from the date your first payment is processed. After the minimum term, the agreement continues month-to-month and may be cancelled by either party with 30 days written notice.
4. Early Termination
If you wish to cancel before the end of the 12-month minimum term, you must pay the remaining monthly fees owed for the balance of the term. For example, if you cancel at month 5, a termination fee of 7 × $100 = $700 applies. Early termination does not transfer ownership of the website.
5. Intellectual Property and Ownership
The website design, code, and all creative assets built by DeeMedia remain the intellectual property of DeeMedia for the duration of the subscription. You retain full ownership of all content you provide, including text, images, and your logo.
If you wish to purchase full ownership of the website outright, this is available by separate written agreement at a price to be negotiated based on the scope of the site.
6. Suspension and Cancellation
If a payment fails and is not resolved within 7 days, we reserve the right to suspend the website until payment is received. If the subscription is cancelled or terminated, the website will be taken offline. No refunds are issued for unused portions of a billing period.
7. Client Responsibilities
You are responsible for providing accurate business information, content, and timely feedback during the build process. Delays caused by the client do not extend the monthly billing start date.
8. Limitation of Liability
DeeMedia is not liable for any loss of business, revenue, or data arising from website downtime, search engine ranking changes, or third-party service disruptions. Our liability is limited to the amount paid in the most recent month.
9. Governing Law
This agreement is governed by the laws of New South Wales, Australia. Any disputes will be resolved in the courts of New South Wales.
